Ciennce AB, regn.no 556923-1094, (“Ciennce”) offers a publication service (the “Service”) which enables academics and researchers to publish articles and other content (“Content”) which is made available on Ciennce’s website (currently www.ciennce.com) and/or an application for mobile devices which may be released in the future (the “Website”).
Registration of an account with Ciennce can only be made together with the administration at Ciennce AB.
The person registering an account with Ciennce (the “User”), will be granted access to use the Service subject to these Terms and Conditions.
These Terms and Conditions shall become effective the moment the User registers an account with Ciennce and remain in full force and effect until amended by Ciennce in accordance with item 8.1 or until the User terminates its account.
Retention of ownership to content
The User retains its ownership of any and all Content it publishes on the Website by using the Service, including but not limited to such Content that is protected by copyright, neighboring rights, trademarks, trade names, patents, design rights and other intellectual property rights (“IP Rights”).
By publishing Content on the Website by using the Service, the User grants Ciennce a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, copying, indirect, temporary and permanent reproduction, amendment, adaptation, modification, translation, distribution and communication to the public of the Content (the “License”).
The License shall become effective from the moment the Content is made available on the Website and expire the moment the User deletes the Content from the Website by using the Service (the “License Term”).
By publishing Content on the Website by using the Service, the User, further, grants all other Users of the Service and all visitors of the Website, who have copied Content during the License Term and have not deleted the Content prior to the expiration of the License Term, a perpetual, non-exclusive, royalty-free, world-wide license to use, copying, indirect, temporary and permanent reproduction, amendment, adaptation, modification, translation, distribution and communication to the public of such Content (the “Visitor License”).
The User is expressly prohibited to use the Service to publish Content on the Website which
promotes or assists illegal or unlawful activity;
is discriminatory based on gender, race, ethnicity, nationality, religion, disability, medical condition, sexual orientation or age;
is threatening, abusive, harassing, defamatory, harmful, obscene, sexually explicit, vulgar, offensive, inappropriate, improper or dishonest;
constitutes an infringement of, contributes to the infringement of or induces others to infringe IP Rights (including, for the avoidance of doubt, IP Rights of co-creators and employers or other principals);
includes information or data which the User is not entitled to publish according to applicable law, contractual obligations or any other obligations of secrecy
The User is solely responsible for its use of the Service and for any Content it publishes on the Website by using the Service and shall indemnify and defend Ciennce from any claims made by third parties due to Content which is published in violation of items 4.1 a)–e).
Discontinuation of the Service or the Website
Ciennce may, at its discretion, temporarily or permanently remove Content from the Website and/or suspend the User from the Service or discontinue the Service or the Website, whereupon the License shall cease to be effective during such time that the removal, suspension and/or discontinuation remains in force.
The User may, at its discretion, terminate its account with Ciennce, whereupon the User may, at its discretion, decide whether the License Term shall expire or remain effective indefinitely.
Limitation of liability
Ciennce shall not be liable for loss, corruption or misuse of Content which a User has published on the Website by using the Service or such other information that the User has provided in connection with using the Service.
Ciennce’s shall not be liable for indirect or incidental damages or to pay any damages or compensation exceeding an aggregate amount of SEK 1 000.
Ciennce may amend these Terms and Conditions by giving written notice one (1) month in advance on the Service or the Website. The User shall be considered to have accepted such amendment unless it has terminated its account with Ciennce by the date the amendments become effective.
Applicable law and dispute resolution
These Terms and Conditions, as well as the User’s use of the Service, shall be governed by the substantive laws of Sweden. Any dispute, claim or controversy arising out of or in connection with these Terms and Conditions or the User’s use of the Service shall be finally settled by arbitration in accordance with the Rules for Expedited Arbitrations of the Stockholm Chamber of Commerce. The seat of the arbitration shall be Stockholm and the language of the proceedings shall be Swedish.
